These Terms of Use (“Terms”) govern your access to and use of websites, landing pages, assessments, forms, scheduling tools, communications, and other online services owned, operated, or controlled by Patient Reach 360, LLC (“PR360,” “we,” “us,” or “our”) (collectively, the “Sites” and “Services”). By accessing or using the Sites or Services, submitting information, requesting to be contacted, or requesting or scheduling an appointment, you acknowledge that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Sites or Services.
Eligibility and United States Services
The Sites and Services are intended for individuals who are at least 18 years old and are seeking healthcare services from providers located in the United States. By using the Services, you represent that you are at least 18 years old and legally capable of agreeing to these Terms. PR360 does not represent that the Services are appropriate or available outside the United States.
PR360’s Role; No Medical Advice
PR360 is a technology, marketing, lead-generation, qualification, communications, and scheduling platform. PR360 is not a healthcare provider and does not practice medicine, diagnose conditions, recommend treatment, provide medical advice, determine medical necessity, or make clinical decisions.
Information available through the Sites is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional regarding a medical condition. Do not disregard or delay professional medical advice because of information obtained through the Sites.
No Emergency Services
The Sites and Services are not intended for emergencies and are not monitored as an emergency service. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency medical care.
Independent Healthcare Providers; No Endorsement
Physicians, medical practices, facilities, and other healthcare providers that may receive your information or communicate with you through or as a result of the Services (“Healthcare Providers”) are independent third parties. They are not employees, agents, partners, joint venturers, or representatives of PR360, and PR360 does not control their professional judgment, staffing, scheduling, billing, treatment, or business practices.
PR360 does not endorse, warrant, or guarantee any Healthcare Provider or the quality, appropriateness, availability, or outcome of any healthcare service. You are responsible for deciding whether to obtain services from a Healthcare Provider and for asking any questions necessary to make an informed decision.
Information You Provide; Provider Matching
To use certain Services, you may provide information such as your first and last name, telephone number, email address, ZIP code, insurance provider, and the healthcare service you are seeking. You represent that information you provide is accurate and that you are authorized to provide it.
PR360 may use the information you submit to identify and share your information with a Healthcare Provider that, based on information reasonably available to PR360, appears to serve your geographic area, provide the type of service you are seeking, and potentially accept the insurance provider you identify. You may not know the identity of the Healthcare Provider before submitting your information.
Provider matching is for facilitation purposes only. PR360 does not verify insurance coverage, benefits, network status, medical eligibility, medical necessity, or whether a particular service will be covered. The Healthcare Provider and your insurer are solely responsible for those determinations.
Consent to Contact and Communications
By submitting your contact information and requesting information, assistance, provider matching, or an appointment, you authorize PR360 and the Healthcare Provider(s) to whom PR360 sends your request to contact you about your request, provider matching, appointment scheduling, rescheduling, reminders, follow-up, and related services by telephone, email, and text message at the contact information you provide.
Where permitted by applicable law and based on any additional consent presented to you, PR360 may also contact you regarding other PR360 services, participating providers, or health-related opportunities that may be of interest to you. Marketing consent is not a condition of receiving healthcare services. Message and data rates may apply. You may opt out of marketing text messages by replying STOP and may use other opt-out methods described in the communication. Transactional or service-related communications may continue where permitted by law.
If PR360 or its service providers use automated technology, prerecorded or artificial voice, or automated dialing or messaging systems, any required consent will be obtained in the manner required by applicable law. You are responsible for ensuring that the telephone number and email address you provide belong to you or that you are authorized to use them.
Appointment Requests; No Guarantee of Care
Submitting information, completing an assessment, requesting contact, or requesting or scheduling an appointment does not guarantee that a Healthcare Provider will accept you as a patient, offer an appointment, provide a particular procedure or treatment, determine that a service is medically appropriate, obtain prior authorization, or obtain insurance coverage.
Appointments may be scheduled by PR360, by a Healthcare Provider, or through technology used by either. Appointment availability and all clinical and administrative decisions remain with the Healthcare Provider.
Healthcare Provider Policies; Cancellation and NoShow Fees
If you request or schedule an appointment with a Healthcare Provider through or as a result of the Services, the appointment and any medical services are subject to that Healthcare Provider’s own policies and procedures, including policies regarding cancellations, rescheduling, late arrivals, and missed appointments. If you cancel, reschedule, or fail to attend an appointment outside the Healthcare Provider’s applicable policy, the Healthcare Provider may, in its discretion and where permitted by law, charge you a cancellation, late-cancellation, or missed-appointment fee.
Any such fee is determined, imposed, billed, and collected solely by the Healthcare Provider. PR360 does not establish, control, collect, or receive any portion of a Healthcare Provider’s cancellation or noshow fee and is not responsible for disputes regarding such policies or fees.
Insurance, Billing, and Financial Responsibility
PR360 does not determine insurance eligibility, benefits, network status, coverage, prior authorization, copayments, deductibles, coinsurance, or the cost of healthcare services. You are responsible for confirming these matters directly with the Healthcare Provider and your insurer. PR360 does not collect payment from consumers for healthcare services. Any charges for healthcare services or providerimposed fees are solely between you and the applicable Healthcare Provider.
Privacy and Data Practices
PR360’s collection, use, disclosure, retention, and protection of personal information are described in the PR360 Privacy Policy, which is incorporated into these Terms by reference. These Terms and the Privacy Policy are intended to be read together and interpreted consistently. If a provision specifically concerning privacy or personal-information practices differs from a more general provision in these Terms, the Privacy Policy will control with respect to that privacy issue, unless applicable law requires otherwise.
User Content and Submissions
You may provide information and communications necessary for PR360 to provide the Services. You grant PR360 a limited, non-exclusive right to use, process, reproduce, transmit, and disclose such information only as reasonably necessary to operate, secure, improve, and provide the Services, comply with law, and as otherwise described in the Privacy Policy.
Personal information submitted through the Sites is not deemed “non-confidential for all purposes,” and PR360 does not claim an unrestricted perpetual license to use personal information. Business ideas, feedback, or suggestions voluntarily submitted to PR360 outside the consumer intake process may be used by PR360 without compensation, provided that PR360 will handle any personal information contained in such submissions in accordance with the Privacy Policy.
Cookies, Analytics, Advertising, and Attribution
PR360 and its service providers may use cookies, pixels, tags, APIs, device identifiers, and similar technologies for site operation, security, analytics, advertising attribution, campaign measurement, and, where permitted, advertising. These practices are described in the Privacy Policy and may be subject to consent or opt-out rights under applicable law.
PR360 may limit or disable tracking technologies on pages or data flows where their use could create heightened privacy or regulatory risk. Nothing in these Terms authorizes a disclosure that is prohibited by applicable law.
Acceptable Use
Do not use the Sites for unlawful, fraudulent, abusive, or harmful purposes.
Do not attempt to gain unauthorized access to the Sites, accounts, systems, or data.
Do not interfere with the security, integrity, or operation of the Sites.
Do not scrape, harvest, copy, reverse engineer, or commercially exploit the Sites or proprietary software except as permitted by law.
Do not impersonate another person or submit information about another person without authorization.
Intellectual Property
The Sites, proprietary software, designs, text, graphics, trademarks, logos, workflows, analytics, and other content owned by PR360 are protected by applicable intellectual-property laws. PR360 grants you a limited, revocable, non-transferable, non-exclusive right to use the Sites for your personal, noncommercial use. No other rights are granted.
Third-Party Services and Links
The Sites may integrate with or link to third-party websites, technology platforms, communications providers, analytics services, or Healthcare Provider systems. PR360 does not control and is not responsible for third-party services, content, privacy practices, security, availability, or terms. Your use of third-party services may be governed by separate terms and privacy policies.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITES AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PR360 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. PR360 DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT A PROVIDER MATCH OR APPOINTMENT WILL RESULT IN CARE, COVERAGE, OR A PARTICULAR OUTCOME.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PR360 AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF DATA, LOSS OF USE, OR DAMAGES ARISING FROM A HEALTHCARE PROVIDER’S ACTS OR OMISSIONS, MEDICAL CARE, BILLING, INSURANCE DETERMINATIONS, APPOINTMENT POLICIES, OR YOUR RELIANCE ON INFORMATION AVAILABLE THROUGH THE SITES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PR360’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITES OR SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT, IF ANY, YOU PAID DIRECTLY TO PR360 FOR THE CONSUMER SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not permit certain limitations, so some limitations may not apply to you.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless PR360 and its affiliates, members, managers, officers, employees, contractors, and agents from third-party claims arising from your unlawful misuse of the Sites, your material violation of these Terms, or your infringement of another person’s rights. This provision does not require you to indemnify PR360 for PR360’s own negligence or unlawful conduct where such indemnification is prohibited by law.
Arbitration; Class and Jury Waiver
PLEASE READ THIS SECTION CAREFULLY. Except for claims that may not lawfully be arbitrated, disputes between you and PR360 arising out of or relating to the Sites, Services, these Terms, or the Privacy Policy will be resolved by binding individual arbitration rather than in court. The arbitration will be administered by a nationally recognized arbitration provider under its applicable consumer rules, before a single neutral arbitrator. The Federal Arbitration Act will govern the enforceability of this arbitration agreement.
Before initiating arbitration, the party asserting a claim must provide the other party written notice describing the dispute and requested relief and allow at least 30 days for informal resolution. Notices to PR360 may be sent to info@patientreach360.com, with the subject line “Legal Dispute Notice.”
YOU AND PR360 AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW. YOU AND PR360 ALSO WAIVE THE RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO ARBITRATION.
This arbitration provision applies only to disputes with PR360 concerning PR360’s Sites or Services. It does not govern malpractice, diagnosis, treatment, or other medical-care disputes between you and an independent Healthcare Provider.
20. Governing Law; Courts for Non-Arbitrable Matters
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent federal law controls. For disputes that are not subject to arbitration, you consent to exclusive jurisdiction and venue in the state or federal courts located in Ohio, to the extent permitted by applicable law.
Changes to the Terms
PR360 may update these Terms from time to time. The “Last Updated” date will identify the current version. If required by law, PR360 will provide additional notice or obtain additional consent for material changes. Continued use of the Sites after an effective update constitutes acceptance to the extent permitted by law.
Severability; Waiver; Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. PR360’s failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any consent presented at the point of collection, constitute the agreement between you and PR360 concerning the consumer Sites and Services.

20. Governing Law; Courts for Non-Arbitrable Matters
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent federal law controls. For disputes that are not subject to arbitration, you consent to exclusive jurisdiction and venue in the state or federal courts located in Ohio, to the extent permitted by applicable law.
Changes to the Terms
PR360 may update these Terms from time to time. The “Last Updated” date will identify the current version. If required by law, PR360 will provide additional notice or obtain additional consent for material changes. Continued use of the Sites after an effective update constitutes acceptance to the extent permitted by law.
Severability; Waiver; Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. PR360’s failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any consent presented at the point of collection, constitute the agreement between you and PR360 concerning the consumer Sites and Services.
